Drafting Section 13(3A) SARFAESI Objections — Template & Key Arguments (Hyderabad Guide)

Introduction
If your bank has issued a Section 13(2) demand notice, the first written defence is not a DRT case. It is a Section 13(3A) SARFAESI objection.
Drafting Section 13(3A) SARFAESI objections is the borrower’s first statutory chance to force the bank to apply its mind to the demand, the NPA classification, the amount claimed, and the property named in the notice. For borrowers, guarantors and business owners in Hyderabad and Telangana, this letter often decides how strong the later Section 17 case before DRT Hyderabad-1 or Hyderabad-2 will be.
This guide explains when the objection applies, what to write, which arguments actually matter, which documents to annex, and the mistakes that weaken the file. It includes a working template. It does not replace advice on your facts.
What Section 13(3A) actually does
After an account is treated as a non-performing asset, the secured creditor may issue a written demand under Section 13(2) of the SARFAESI Act, 2002. That notice gives 60 days to pay the claimed dues in full. It must also state the amount demanded and the secured assets the bank intends to enforce.
Section 13(3A) was added after the Supreme Court’s observations in Mardia Chemicals Ltd. v. Union of India (2004). If the borrower makes a representation or raises an objection to the 13(2) notice, the secured creditor must consider it. If the bank finds the objection not acceptable, it must communicate reasons for non-acceptance.
The working procedure sits in Rule 3A of the Security Interest (Enforcement) Rules, 2002:
- the Authorised Officer must examine whether the objection is tenable;
- if a correction is needed, the bank may modify the demand notice or pass other suitable orders;
- if the objection is rejected, reasons must be communicated.
The usual outer mark for that reply is 15 days from receipt of the representation. Some High Courts have treated the duty to consider as mandatory and the 15-day clock as directory, so a late but reasoned reply is not always fatal. The reverse is also true: a one-line rejection with no reasons is a weak record for the bank. Treat both points as fact-sensitive and verify the latest position before relying on delay alone.
What a 13(3A) letter cannot do
Two limits matter more than most clients expect.
You cannot file a Section 17 application only because the bank rejected your objection. The proviso to Section 13(3A), and the explanation to Section 17(1), say that communication of reasons — or the bank’s “likely action” at that stage — does not confer a right to approach the Debts Recovery Tribunal.
DRT Hyderabad-1 / Hyderabad-2 becomes the forum only after a measure under Section 13(4) (typically possession, takeover of management, or appointment of a manager). The usual filing window is 45 days from that measure. Appeal from DRT lies to DRAT Kolkata under Section 18, with a statutory pre-deposit. A writ to the Telangana High Court is exceptional, not the default route.
The letter is not a stay. It does not freeze the 60-day clock by itself. If the bank later moves the District Collector / District Magistrate under Section 14 for assistance in taking possession, the bank’s affidavit must normally declare that objections were considered and reasons communicated. That is one practical reason the objection must exist on paper, with proof of service.
When to file — and how late is too late
The Act does not fix a calendar deadline for the borrower’s representation. In practice:
- File as soon as the 13(2) notice is received, and well inside the 60-day window, so the bank can reply before it moves to possession.
- File in any event before Section 13(4) measures if you still can. A representation after possession is weaker and may be treated as belated by some tribunals.
- Some benches have been strict where the objection was sent after 60 days and the borrower later complained that no 13(3A) reply was given. Do not assume a late letter creates a clean procedural trap.
If you never received the 13(2) notice, say so in writing at once and demand proof of dispatch, acknowledgment and newspaper publication (if the bank claims substituted service).
Who should sign and whom to serve
Serve:
- the Authorised Officer named in the 13(2) notice;
- the branch / recovery cell address on the notice;
- the bank’s nodal / grievance officer, if known;
- a copy to every co-borrower and guarantor named in the notice.
Use Registered Post with Acknowledgment Due or Speed Post with tracking, plus email to the addresses printed on the notice. Keep the receipt, tracking printout and a signed office copy. Proof of service is often the difference between a usable ground and a discarded allegation.
A company or firm should send the letter on letterhead, signed by an authorised signatory, with the board / authorisation paper annexed. A guarantor should file a separate short representation if the notice treats the guarantor as a “borrower” under the Act.
Key arguments that belong in a 13(3A) objection
Write only grounds you can prove. A long emotional letter helps the bank more than it helps you.
Defective service of the 13(2) notice
Ask for the postal receipt, tracking, acknowledgment and, where the bank claims the borrower was evading service, the affixation record and the two newspaper publications required by the Enforcement Rules. Wrong address, service on only one of several borrowers, or publication without proper prior attempt, should be recorded now.
Amount demanded does not match the account
This is the most useful everyday ground. Attach your own running statement. Point to:
- credits not applied;
- insurance, inspection or legal charges levied without notice;
- penal interest from a date earlier than the NPA date;
- interest recalculated after a change in spread without written intimation;
- double counting of a closed facility.
Ask for a date-wise statement from sanction to the notice date, with principal, interest, penal interest and charges shown separately. Under Rule 3A(b), a genuine mismatch is a reason to modify the demand notice.
NPA classification
The bank must classify the account as per RBI income-recognition and asset-classification norms, not by a casual internal note. Useful questions, if the facts support them:
- Was there a default of the required period on the relevant facility?
- Was a sanctioned restructuring or moratorium ignored?
- Was the NPA date disclosed in the notice?
- Was a credit placed just before classification left out?
Do not allege “illegal NPA” without the statement and the sanction terms.
Notice does not identify the debt or the asset
Section 13(3) requires details of the amount payable and the secured assets intended to be enforced. A notice that lumps several facilities, names the wrong survey number, or omits a parcel that the bank later tries to auction, should be objected to immediately.
Account or asset outside SARFAESI
Raise these only with documents:
- security interest in agricultural land (Section 31(i)) — courts look at actual use at the time the security was created, not only the revenue label. ITC Ltd. v. Blue Coast Hotels Ltd. (2018) is the leading Supreme Court discussion; the defence fails if the land was not truly held for agriculture.
- amount due less than the statutory small-debt threshold in Section 31(j) (verify the current percentage against the principal and interest before pleading it);
- security never created, title deeds not deposited, or the claimant is not a secured creditor for that asset.
Pending settlement, restructuring or OTS
If a one-time settlement, restructuring or compromise is pending or was accepted in principle, annex the letters. Ask the bank to keep measures in abeyance till a reasoned decision. This rarely stops SARFAESI by itself, but it shows bona fides and may support a later stay application.
Parties, limitation and joint financing
Record if a guarantor was not served, a legal heir was ignored, or a time-barred claim is being revived only through SARFAESI. Where more than one secured creditor financed the same asset, flag Section 13(9) consent issues if they apply on your papers.
Request that must appear in every letter
End with a clear request that the Authorised Officer:
- consider the representation under Section 13(3A) read with Rule 3A;
- issue a reasoned reply within the statutory period;
- correct the demand if the figures or assets are wrong;
- not proceed to Section 13(4) or Section 14 until that exercise is completed.

Keep the tone formal. Do not accuse officers of fraud unless you have documents. Do not admit a round figure “as a matter of goodwill” if the real dispute is the calculation.
After the bank replies — or stays silent
If the bank sends a reasoned rejection, read it against your annexures. Silence, or a reply that ignores every numbered point, becomes a ground later — but only after a 13(4) measure, in a Section 17 application before DRT Hyderabad-1 or Hyderabad-2.
If possession is taken or a possession notice is pasted, the 45-day clock starts. That is the stage for a stay application, not a second 13(3A) letter. If the bank applies to the District Collector / DM under Section 14, the statutory affidavit should record consideration of your objection. Non-consideration is then a point in the DRT case and, in a narrow class of cases, in a writ.
Do not wait for the auction sale notice to start gathering statements. By then the record is already fixed.
Hyderabad and Telangana practice notes
- Address the Authorised Officer exactly as named. Many Hyderabad notices come from a centralised SAMG / ARB / Stressed Asset unit, not the home branch.
- For immovable property in Hyderabad, Ranga Reddy, Medchal-Malkajgiri or nearby districts, Section 14 assistance is sought from the concerned District Collector / District Magistrate, not from DRT.
- Section 17 cases arising from Hyderabad-region assets ordinarily go to DRT Hyderabad-1 or DRT Hyderabad-2, depending on roster and cause of action. Confirm the sitting tribunal before filing.
- DRAT for this region is Kolkata. Budget the pre-deposit before you plan an appeal.
- Telangana High Court writs against a mere 13(3A) rejection are usually turned away because an alternative remedy exists once 13(4) measures begin.

- Email sent-folder and delivery report saved
- Calendar reminder at day 15 and before day 60
- Watch for possession notice, newspaper publication and Section 14 move
- If a 13(4) measure is taken, diarise the 45-day Section 17 limit for DRT Hyderabad
Conclusion
A Section 13(3A) objection is a short, dated, documented letter — not a speech and not a DRT petition. File it early, serve it properly, annex the statement and payment proofs, and ask for a reasoned Rule 3A reply. Use that paper when the bank moves to possession, Section 14 or auction.
If the 13(2) notice has already arrived, the useful work is the next few days: reconstruct the account, mark the defects, and put a clean representation on the Authorised Officer’s desk.
Short disclaimer
This article is for general information on Indian SARFAESI practice, with a Hyderabad / Telangana orientation. It is not legal advice and not a solicitation. Limitation, forum, NPA norms and case law change with facts and later judgments. Have an advocate examine your notice, statement and mortgage papers before you send any representation or file before DRT.

Questions
Is a Section 13(3A) objection compulsory?
No. But skipping it leaves the bank free to say that no representation was made, and it weakens the Section 14 affidavit challenge and the later Section 17 case.
Can I approach DRT Hyderabad as soon as the bank rejects my objection?
Generally no. The statute itself says that communication of reasons does not give a Section 17 right. Wait for a Section 13(4) measure, then file within 45 days.
What if the bank never replies?
Keep proof that the letter was delivered. Non-consideration of a representation is a recognised procedural complaint, but tribunals look at prejudice and at whether you filed in time. It is not an automatic cancellation of the entire SARFAESI action. The Supreme Court in ITC Ltd. v. Blue Coast Hotels Ltd. treated the duty to consider as mandatory, yet declined relief on the facts where the creditor had in substance considered repayment proposals. Outcome depends on the record.
Does the 15-day period stop the bank if they reply on day 20?
Not always. Several High Courts have called the 15-day period directory and the duty to consider mandatory. Use delay as one point, not the only point. Verify the latest binding view for Telangana before you rest the case on delay.
Should a guarantor send a separate letter?
Yes, if the guarantor is named in the notice or the bank treats the guarantor as a borrower. Serve the same Authorised Officer and keep separate proof.
Can I raise agricultural-land exemption in the 13(3A) letter?
Yes, if the papers support it. Annex revenue extracts, photographs of actual use, and the mortgage description. Courts test use at the time of creation of security, not a later crop on paper.
Will an OTS proposal in the same letter hurt me?
A without-prejudice proposal is common and can show bona fides. Do not treat it as an admission of the notice amount. State that the offer is subject to a corrected outstanding.
What is the next step if possession is taken after my objection?
File a Section 17 application before the competent DRT (Hyderabad-1 or Hyderabad-2, as applicable) within 45 days, with a stay request. Appeal from DRT is to DRAT Kolkata with pre-deposit. A writ is not the first remedy.
