Legal Notice for Recovery of Money: What Should It Contain?

The short answer
A legal notice for recovery of money should be a clear, dated demand that a court in Hyderabad could later read without embarrassment.
It should say:
- who owes what;
- on which invoice, loan, or contract;
- from when;
- by when payment is required.
It should list the documents. It should not invent a criminal case, and it should not claim a figure the ledger does not support.
This is general information. It is not a template to copy onto letterhead without the papers.
What the notice should contain
- Names and addresses of the creditor and the debtor (and of a guarantor, if you are actually proceeding against one).
- The contract or transaction — invoice series, loan, goods, services.
- The principal amount, and interest only if there is a basis in contract or in law.
- Dates of default and of any acknowledgement or part-payment (these matter for limitation).
- A demand to pay within a stated time.
- The documents relied upon.
- A statement that further proceedings may follow if the demand is not met — without promising any particular order of any particular court.
If the same paper is also a Section 138 notice
Then the Negotiable Instruments Act contents and clocks must be met: the cheque, the return, the 30-day window for the notice, the cheque amount, and the 15-day payment period. That is a specialised draft. See cheque bounce notice — what the drawer should do. Do not mix a civil “outstanding including interest and costs” with a Section 138 demand so that neither statute is satisfied.
What it should not contain
- insults;
- a guarantee of imprisonment;
- a false statement of account;
- a demand against a person who was never a party to the debt;
- a waiver you do not intend.
The notice will be Exhibit A. Write it as if the civil judge or the magistrate will read it, because one of them may.
After the notice
If the debtor pays, close it on paper. If the debtor replies, read the reply before the next step. If there is silence, limitation is still running. A notice is not a substitute for a plaint.

Nothing in this article is a template, a fee quote, or a promise of recovery.

- Negotiable Instruments Act, 1881, Section 138 (if the notice is also a statutory NI Act demand)
Questions
What should a legal notice for recovery of money contain?
The names and addresses of the parties, the transaction, the principal amount and the basis for interest, dates of default, a clear demand to pay within a stated time, and the documents relied upon. It should be a demand a court can later read without embarrassment.
Is a legal notice compulsory before every money suit in India?
Not always as a matter of statute. It is often useful, and it is sometimes required by contract or by a special law. A Section 138 notice is compulsory for that offence. Do not confuse the two drafts.
Can I demand arrest in a recovery notice?
A civil debt is not an arrest warrant. Mixing a money claim with a threat of criminal process, where the criminal ingredients are absent, is poor law and poor advocacy.
Should I send a Section 138 notice or a civil recovery notice?
If there is a dishonoured cheque and you intend a Section 138 complaint, the NI Act’s contents and clocks must be met. A civil recovery notice is a different instrument. They can relate to the same debt. They are not the same paper.
